Safen Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using the Safen platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms are a binding legal agreement between you and Distillery University LLC dba Safen ("Company," "we," "us," or "our"), a Limited Liability Company registered in the State of Washington.

2. Nature of the Service (Not Medical or Legal Advice)

Safen is a data management platform designed to assist employers in tracking compliance with OSHA Hearing Conservation standards (29 CFR 1910.95).

IMPORTANT DISCLAIMER:

  • Not Medical Advice: The Service generates analysis based on data you input (e.g., Standard Threshold Shifts). This is for informational and record-keeping purposes only. Safen is not a medical provider. Any notifications or reports generated by Safen do not constitute a medical diagnosis.

  • Not Legal Counsel: While Safen assists with compliance tracking, we do not provide legal advice. Using Safen does not guarantee immunity from OSHA citations, fines, or legal action. You (the Employer) remain solely responsible for your workplace safety and compliance with all applicable laws.

3. HIPAA and Data Privacy

  • Business Associate Agreement (BAA): To the extent you upload Protected Health Information (PHI) as defined by HIPAA, Safen acts as your Business Associate. Our obligations regarding PHI are governed by the Business Associate Agreement (BAA) executed between us, or if none is separately signed, by our standard BAA incorporated herein by reference.

  • Your Responsibility: You represent and warrant that you have obtained all necessary consents and authorizations from your employees to upload their health data (audiograms) to the Service.

4. User Accounts and Security

  • Credentials: You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized use of your account.

  • Team Access: If you grant access to other administrators or safety managers, you are responsible for their actions within the platform.

5. Subscription and Payment

  • Fees: Access to Safen is subject to the subscription fees presented to you at the time of purchase. All fees are non-refundable unless otherwise required by law.

  • Changes: We reserve the right to change our pricing upon 30 days' notice.

6. Limitation of Liability (READ CAREFULLY)

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISTILLERY UNIVERSITY LLC DBA SAFEN SHALL NOT BE LIABLE FOR:

  1. ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
  2. ANY FINES, PENALTIES, OR CITATIONS ISSUED BY OSHA OR ANY STATE REGULATORY BODY.
  3. ANY LOSS OF PROFITS, DATA, OR BUSINESS REPUTATION.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE FORM OF THE ACTION, IS LIMITED TO THE AMOUNT PAID BY YOU TO USE THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its officers, directors, and employees from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with:

  • Your access to or use of the Service.

  • Your violation of these Terms or any applicable law (including OSHA and HIPAA regulations).

  • Any data or content you upload to the Service.

8. "Beta" Services

If you are using a "Beta" or "Early Access" version of the Service, you acknowledge that the Service may contain bugs, errors, or other defects and is provided "AS IS" without warranty of any kind.

9. Termination

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Spokane County, Washington.
